Last updated: October 29, 2026

Please read these Terms and Conditions ("Terms") carefully before using the services provided by BluePulse Logistics LLC ("BluePulse Logistics," "we," "us," or "our"). By engaging our services or using our website bluepulselogistics.com, you ("Client" or "you") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or website.

1. Services

BluePulse Logistics LLC provides third-party logistics (3PL) and fulfillment services, including but not limited to Amazon FBA preparation, order fulfillment, returns processing, kitting and assembly, and relabeling (collectively, the "Services"). The specific scope, deliverables, and pricing for Services provided to each Client will be outlined in a separate Service Agreement, Statement of Work, or written quote issued by BluePulse Logistics.

We reserve the right to refuse or discontinue Services at our sole discretion, including in cases where we determine that goods submitted for processing are prohibited, hazardous, counterfeit, or otherwise unlawful. The Client is solely responsible for ensuring that all inventory and goods provided to BluePulse Logistics comply with applicable laws and regulations.

2. Payment Terms

All fees for Services are as agreed in writing between the Client and BluePulse Logistics. Unless otherwise specified:

All payments must be made in U.S. dollars. Accepted payment methods will be communicated to the Client at the time of invoicing.

3. Limitation of Liability

To the fullest extent permitted by applicable law, BluePulse Logistics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms, even if BluePulse Logistics has been advised of the possibility of such damages.

BluePulse Logistics' total cumulative liability arising out of or related to the Services shall not exceed the total fees paid by the Client to BluePulse Logistics during the three (3) months immediately preceding the event giving rise to the claim.

BluePulse Logistics shall not be liable for any loss, damage, delay, or failure resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, governmental actions, carrier delays, or failures of third-party service providers.

4. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA).

Arbitration shall take place in Chicago, Illinois. The arbitrator's decision shall be final and binding, and judgment on the arbitration award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees in connection with any arbitration or dispute resolution proceeding, unless the arbitrator determines otherwise.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute.

5. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. The parties consent to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois for any matters not subject to arbitration under these Terms.
